Platform Use and Subscription

  • By using the BW platform, purchasing services, or accessing subscribed services, you agree to these Terms of Service.

  • You are granted a non-exclusive, non-transferable right to use the services for internal business operations during the subscription period.

  • The platform does not include internet services, and compliance with legal requirements is not guaranteed except as stated in the agreement.

  • Misuse or violation of the agreement may result in suspended access.


Seats and Users

  • A user account (Seat) can be created for each person who will use the subscribed services.

  • Passwords and access information must be kept confidential.

  • If you exceed your subscribed seats, additional fees apply.


Additional Seats

  • Extra seats beyond the subscribed amount incur prorated charges based on the remaining subscription period.

  • Monthly invoices for additional seats will be issued and must be paid within 14 days.


Minimum Seats

  • You cannot reduce the number of subscribed seats below the minimum agreed upon in the Sales Agreement.

  • You will be billed for the minimum number of seats even if actual users are fewer.


Trial Period

  • New users may receive a 14-day trial to access certain features.

  • Post-trial, you must subscribe to continue using the platform.

Subscription Duration and Renewal

  • The agreement starts on the Effective Date and lasts until the end of the trial or subscription period unless terminated earlier.

  • Automatic renewal occurs unless canceled with two months' notice.

Plan Upgrades

  • You can request an upgrade at any time, which may involve additional costs.

  • Downgrades can only occur at the time of renewal.

Fees, Payment, and Renewals

  • Subscription fees are billed prior to the next period.

  • Non-refundable if canceled before the subscription period ends.

  • Fees may increase upon renewal.

Multi-year Agreements

  • Additional fees for added seats apply even over multi-year agreements.

Changes and Updates

  • We may update the platform, documentation, and terms to comply with laws.

Suspension for Misuse or Non-payment

  • Access may be suspended for misuse or failure to pay overdue amounts.

Server Maintenance

  • Regular maintenance is conducted for app reliability, with advance notice for planned outages.

  • Emergency maintenance may occur without prior notice.

Customer Data

  • Customers are responsible for the legality and quality of their data.

  • Customer logos may be used in marketing unless opted out.

Intellectual Property

  • All intellectual property rights related to the services remain with us.

  • Feedback and suggestions become our property.

Confidentiality

  • Both parties must protect each other's confidential information.

Data Protection

  • Compliance with privacy and data protection laws is required.

Termination

  • The agreement can be terminated for insolvency, material breach, or non-payment.

Force Majeure

  • Neither party is liable for non-performance due to events beyond reasonable control.

General Provisions

  • This agreement supersedes previous arrangements and is governed by English law.
